1. Overview

These Billing, Administrative & Operational Terms (“Agreement”) govern all services provided by Thalia GW Elite VA Solutions LLC (“Company”) to the client (“Client”). By engaging services, the Client agrees to the terms outlined herein.

SECTION I: BILLING TERMS

2. Service Structure

Services are offered under the following models:

  • Hourly (Ad-Hoc Support): Billed based on time utilized

  • Retainer (Ongoing Support): Reserved hours billed monthly

  • Project-Based: Fixed pricing for defined deliverables

 

All services are subject to availability and confirmation.

3. Hourly Rates & Time Tracking

  • Services are billed at the agreed hourly rate

  • Time is tracked in 15-minute increments (0.25 hours)

  • Billable time includes:

    • Task execution

    • Client communication (email, calls, messaging)

    • Research, planning, and preparation

    • Revisions and follow-ups 

 

Time tracking records are maintained for accuracy and transparency

 

4. Prepaid Hours & Retainers

  • Retainer hours must be used within the agreed billing cycle

  • Unused hours do not roll over unless otherwise agreed in writing

  • Additional hours beyond the retainer are billed at the standard rate

  • Retainers secure priority access and scheduling

 

5. Minimum Billing Requirements

  • A minimum of 4 hours per task/request may apply

  • Monthly minimum commitments of at least 3 months will be required for ongoing clients

 

6. Invoicing

  • Invoices are issued weekly, bi-weekly, or monthly depending on client needs

  • Each invoice includes a summary of services rendered

  • Invoices are delivered electronically

 

7. Payment Terms

  • Payment is due upon receipt / Net 7 days unless otherwise stated

  • Late payments may incur a late fee of 5–10%

  • Services may be paused or terminated for overdue balances

 

8. Accepted Payment Methods

 

Payments are accepted via:

  • Credit & Debit Cards

  • Apple Pay

  • Google Pay

  • PayPal

  • Other approved electronic payment methods

 

9. Refund Policy

  • All payments are non-refundable once services are rendered

  • Prepaid hours are non-refundable and must be used within the billing cycle

 

10. Rush Services

 

Requests requiring expedited turnaround may:

  • Be subject to a rush fee

  • Require schedule adjustment or approval based on availability

 

SECTION II: ADMINISTRATIVE TERMS

 

11. Scope of Work

 

All work is performed based on mutually agreed deliverables.

Requests outside the defined scope may:

  • Be billed additionally, or

  • Require a revised agreement

 

12. Client Responsibilities

 

The Client agrees to:

  • Provide clear instructions and timely communication

  • Supply necessary documents, assets, and system access

  • Review deliverables promptly

 

Delays caused by the Client may impact timelines and outcomes.

 

13. Communication

  • Primary communication channels: email and agreed platforms

  • Response time: within 24–48 business hours

  • Business hours: Monday–Friday, 9:00 am – 5:00 pm

 

Communication outside business hours is not guaranteed unless pre-arranged.

 

14. Confidentiality

All client data, materials, and communications are treated as strictly confidential. The Company will not disclose or share information without consent unless required by law.

15. Data Access & Security

  • Clients may provide access to platforms as needed

  • The Company will use secure handling practices

  • The Client remains responsible for account ownership and permissions

 

16. Intellectual Property

  • All final deliverables become the Client’s property upon full payment

  • The Company may showcase non-confidential work in its portfolio unless otherwise requested in writing

 

SECTION III: OPERATIONAL TERMS

 

17. Turnaround Times

 

Turnaround times depend on:

  • Task complexity

  • Current workload

  • Client responsiveness

 

Estimated timelines may be provided but are not guaranteed.

 

18. Availability & Scheduling

  • Services are provided during standard business hours

  • Availability is limited and scheduled in advance where applicable

  • Retainer clients receive priority scheduling

 

19. Cancellations & Rescheduling

  • A minimum of 24–48 hours’ notice is required

  • Late cancellations may be subject to a fee

 

20. Holidays & Time Off

The Company reserves the right to observe holidays and scheduled time off. Clients will be notified in advance of any planned unavailability.

21. Independent Contractor Status

The Company operates as an independent contractor. Nothing in this Agreement constitutes employment, partnership, or joint venture. 

22. Non-Exclusivity

The Company reserves the right to provide services to other clients.

23. Limitation of Liability

The Company shall not be held liable for:

  • Indirect or consequential damages

  • Loss of revenue, data, or business opportunities

  • Issues arising from third-party tools, platforms, or services

 

All services are provided with reasonable care but without guarantee of specific outcomes.

 

24. Termination

Either party may terminate services with 7–14 days written notice. All outstanding balances must be settled prior to termination.

25. Force Majeure

The Company shall not be held liable for delays or failure to perform due to events beyond reasonable control (e.g., technical failures, natural disasters, illness).

 

26. Amendments

These terms may be updated at any time. Clients will be notified of material changes.

 

27. Governing Law

This Agreement shall be governed by the laws of the Commonwealth of Virginia.

 

28. Acceptance of Terms

By engaging services with Thalia GW Elite VA Solutions LLC, the Client acknowledges and agrees to these terms.
